TagsForHope Marketing Agreement

I hereby consent to the following agreement between myself (the “Content Creator”) and TagsForHope Inc. (the “Advertiser”, “TagsforHope”).
Deliverables Content Creator Agrees to:
1. Submit the Advertiser the assets as outlined in the appended project description. The assets will:
i) Will be submitted to TagsforHope via the content submission form
ii) Be sent within one week of completing the assigned tasks outlined in the appended project description.
iii) Follow all formatting requirements.
2. Submit the content to the Advertiser to confirm the completion of the above deliverable. This is required for payment.
The Advertiser (TagsforHope) Agrees to:
1. Provide compensation for services rendered in the form of:
(1) $10 Starbucks Gift Card
Approval and Content Origination
The Content Creator understands that all promotions and products they promote as part of this agreement are controlled by the Advertiser. The Content Creator assumes all responsibility for verifying that the campaign materials meet the Advertiser’s approval. The Advertiser agrees to provide the Content Creator with any requested creative assets and examples for the Content Creator to be successful.
Content Retention
All image and video content created for this agreement is the property of the Advertiser. The Content Creator is licensed by the Advertiser to share the content through the proposed channels indefinitely unless otherwise specified by the Advertiser. The Advertiser can revoke this license at any time.
Confidentially
The Content Creator agrees to not disclose any details or terms of this agreement to any third party outside of employees and partners of the Content Creator directly involved with creating the agreed-upon content.
Brand Protection
Content shall not diminish the TagsForHope Inc. brand. Each post should be in good taste and free of inappropriate language and/or any content promoting bigotry, racism or discrimination based on race, gender, religion, nationality, disability, sexual orientation, or age. Each post should contain truthful and non-fraudulent information.
Liability
You agree to defend, indemnify and hold us harmless and our TagsForHope Inc. directors, employees, subsidiaries, agents, licensors, managers, and contractors against any and all claims, damages, obligations, losses, liabilities, costs or debts, and expenses(including but not limited to attorney’s fees) arising of (i) your violation of any term of this Agreement; (ii) your violation of any applicable law, rule or regulation; (iii) or any claim or damages that arise as a result of damages caused by the Content Creator’s actions.
Choice of Law
This Agreement shall be construed and enforced pursuant to the laws and decisions of Ontario, Canada.
In the event of Disagreement
The involved parties agree to mediate and arbitrate the dispute instead of allowing the case to go to court. If there is a disagreement, the disputes will be mediated and resolved in London, ON, Canada.
Wrongfully Filed Action
Attorney’s fees derived from any wrongfully filed suits by the Content Creator will be reimbursed to Advertiser at the Content Creator’s expense.
Cancellation
The Content Creator or Advertiser may cancel the agreement up to 7 business days before the agreed starting date by contacting the other party by email. Cancellation by the Content Creator within 7 business days of the start date or during the agreement term will require compensating the Advertiser for the total value of the merchandise. The Advertiser can cancel this agreement at any time.
You must be at least 18 years of age to sign this agreement, otherwise, a guardian must sign. An electronic checkbox on a digital copy of this agreement will be accepted as valid.
