Model & Media Release Agreement

By agreeing to this agreement, you (the “Model”, “Model’s Representative”) consent that TagsForHope Inc. (the “Advertiser”, “TagsforHope”) may use the pictures or videos you submit to advertise our mission, products, and services. The Advertiser may share these on their social media pages or in advertisements to help raise awareness for their mission. 

You assign permission to license all images and the use of images in any media for any purpose which may include, among others, advertising, promotion, marketing, and packaging for any product or service. You agree that any images, sound recordings, and video recordings may be combined with other images, text, and graphics, cropped,  altered, and modified.

You agree that the Advertiser has all exclusive rights to images, sound recordings, and videos for perpetuity unless explicitly noted in this Agreement. You acknowledge and agree that the Advertiser is not liable for any further consideration, accounting, or claim for any reason.

You consent on the Model’s behalf (your pet), to be a subject of the Advertiser in media. The Model’s Representative will allow the Advertiser to utilize images, sound recordings, and videos for use in media. Henceforth ‘Model’ refers to the Model and the Model’s Representative.

The Advertiser is Released of Liability: For good and valuable consideration herein acknowledged as received, the Model releases the Advertiser and assigns permission to license all images and the use of images in any media for any purpose which may include, among others, advertising, promotion, marketing and packaging for any product or service.

The Model agrees that any images, sound recordings, and video recordings may be combined with other images, text, and graphics, cropped, altered, and modified.

The Advertiser Retains all Rights: The Model agrees that the Advertiser has all exclusive rights to images, sound recordings, and videos for perpetuity unless explicitly noted in this Agreement.

The Model acknowledges and agrees that the Advertiser is not liable for any further consideration, accounting, or claim for any reason.

Duration of the Agreement: The Model acknowledges and agrees that this Agreement is binding on all heirs and assigns. The Model acknowledges and agrees that this Agreement is irrevocable, worldwide, and perpetual.

Liability 

You agree to defend, indemnify and hold us harmless and our TagsForHope Inc. directors, employees, subsidiaries, agents, licensors, managers, and contractors against any and all claims, damages, obligations, losses, liabilities, costs or debts, and expenses(including but not limited to attorney’s fees) arising of (i) your violation of any term of this Agreement; (ii) your violation of any applicable law, rule or regulation; (iii) or any claim or damages that arise as a result of damages caused by the Model’s actions.

Choice of Law 

This Agreement shall be construed and enforced pursuant to the laws and decisions of Ontario, Canada. In the event of disagreement, the involved parties agree to mediate and arbitrate the dispute instead of allowing the case to go to court. If there is a disagreement, the disputes will be mediated and resolved in London, ON, Canada.

Wrongfully Filed Action 

Attorney’s fees derived from any wrongfully filed suits by the Model will be reimbursed to Advertiser at the Model’s expense.

This Agreement contains the agreement between the parties of this release and the terms of this Agreement are contractual and not a mere recital. By checking the box to this agreement, you accept the above terms and conditions. An electronic check box on a digital copy of this agreement will be accepted as valid.
